Concession Contracts within the Framework of Public-Private Partnerships in the Energy Sector: A Comparative Study of the Legal Systems of Iran, France, and Islamic Jurisprudence

Abstract

This study seeks to formulate an optimal regulatory framework for concession contracts (contrats de concession) within public-private partnerships (Partenariat Public-Privé, PPPs) in the energy sector through a comparative analysis of the legal systems of Iran and France, alongside a reappraisal of their compatibility with the principles of Islamic jurisprudence (fiqh). The study recruits a descriptive-analytical methodology and examines statutory provisions, legislative instruments, and judicial precedents. Findings of the study indicate that the effectiveness of such contracts in advancing energy development, particularly within the field of renewable energies, is contingent on the precise design of risk-allocation mechanisms, information transparency, and effective regulatory oversight. Within Islamic jurisprudence, the legality and legitimacy of these contracts are conditioned on compliance with the prohibition of gharar (prohibition of speculative uncertainty), the equitable distribution of benefits, and the safeguarding of the public interest (maṣlaḥah ʿāmmah). By contrast, under French law, the legal framework established in 2004, together with institutional supervision, ensures legal certainty (sécurité juridique) and fiscal discipline in the implementation of concessionary arrangements. The study concludes that the enhancement of contractual standardization, the establishment of specialized supervisory institutions, and the adoption of modern risk-management instruments comprise essential prerequisites for achieving sustainable governance in the Iranian energy sector.
